Lane Neave advises on Christ Church Cathedral joint venture agreement

Lane Neave has advised the Christ Church Cathedral Reinstatement Trust (Reinstatement Trust) on the establishment of a joint venture with Church Property Trustees (CPT) and Christ Church Cathedral Reinstatement Limited (Company).

Structured as an equal joint venture, the Company has been created by CPT and the Reinstatement Trust as a special purpose vehicle in order to undertake the delivery and completion of the Christ Church Cathedral reinstatement project.  The Joint Venture also sets out the management and ownership of the Company, and their rights and obligations as Shareholders.

The Christ Church Cathedral, which has been one of the most recognisable landmarks in Christchurch since 1864 and a Category 1 Historic Place, was severely damaged during the Canterbury earthquakes.  The joint venture will help both parties fulfil their wish to reinstate the Cathedral.

Partner Gerard Dale led the Lane Neave team, also including Paula Nicolaou (Partner) and Peter Orpin (Special Counsel), who provided strategic advice and support to the Reinstatement Trust on the joint venture arrangements and reinstatement of the Cathedral.

Commenting on the joint venture structure, Gerard Dale said that because the Cathedral is such a unique project, his team was required to think well outside the square to help achieve an excellent outcome for the Reinstatement Trust and the other parties.

“It is very satisfying to be able to work closely with the Board of the Reinstatement Trust to successfully create the joint venture,” said Dale.
