Incorporated Societies Act 2022: an update

By way of an update to our recent articles, the Ministry of Business, Innovation and Employment (MBIE) has recently confirmed the timetable for reregistration of existing incorporated societies.

An incorporated society that is presently registered under the 1908 Act must reregister under the 2022 Act before the ‘transition date’, which is defined as the later of:

  • 1 December 2025; or
  • 2 years and 6 months after a date still to be determined in October 2023 (being the date on which the clause prohibiting registration under the 1908 Act will become active).

Translated, this means that:

  • a new incorporated society can be registered under the 1908 Act until October 2023;
  • all currently registered, and newly registered, incorporated societies will operate under the 1908 Act until October 2023;
  • an incorporated society that is registered under the 1908 Act (including a new society that registers before October 2023) must reregister under the 2022 Act but can only do so after November 2023, and must do so before a date still to be determined in April 2026 (being two and a half years after the date in October 2023).

The short take-home message?  Everything will continue as it has in the past until a society has reregistered under the 2022 Act – the reregistration window opens in November 2023 and closes in April 2026.
